1. What UniformProof is

UniformProof provides automated mathematical reconciliation and contract decision-support tools for commercial uniform and linen rental agreements. We compare the terms of a customer-supplied signed agreement against customer-supplied invoices and report arithmetic variances between them.

Our output is an informational reconciliation prepared for the customer's own internal use.

2. What UniformProof is not

UniformProof is not a law firm, is not your attorney, and does not provide legal advice. Nothing we deliver is a legal opinion, and no attorney-client relationship is created by your use of this service. Questions about contract termination, liquidated damages, or litigation should be directed to your own counsel.

UniformProof is not a contract-termination representative and is not your negotiating agent. We do not contact your uniform supplier, we do not represent you to them, and we do not negotiate on your behalf under any circumstances. Any communication with your supplier is initiated solely by you.

UniformProof is not a certified public accountant and does not issue accounting opinions, audits within the meaning of GAAS, or CPA attestations. The word “audit” is used here in its ordinary commercial sense, not its regulated accounting sense.

3. No guarantee of recovery

UniformProof provides automated mathematical reconciliation and contract decision-support tools. All identified variances represent potential contractual discrepancies based on customer-provided records; UniformProof does not guarantee supplier compliance, credit issuance, or cash recovery.

Whether your supplier accepts a variance, issues a credit, or refunds any amount is entirely within that supplier's discretion and outside UniformProof's control. We make no representation, warranty, or prediction regarding the outcome of any dispute you choose to raise.

4. Audit Fee Guarantee

If our forensic audit does not uncover at least $1,500 in verifiable contractual billing discrepancies and rate drift across your uploaded records, we refund your $500 audit fee in full.

This guarantee applies to our own fee only. It is not a guarantee that you will recover any amount from your supplier. “Verifiable” means a discrepancy we can trace to a specific clause in your signed agreement and a specific line on an invoice you supplied.

The guarantee requires a complete document set: a signed service agreement together with at least four weeks of invoices covering the period audited. Refunds are issued to the original payment method within 10 business days of the audit's delivery.

5. Your documents and your responsibilities

You represent that you have the right to share the documents you upload and that they are true copies of your executed agreement and received invoices. Our analysis is only as accurate as the records you provide; an incomplete or altered document set will produce an incomplete result.

You retain ownership of everything you upload. You may request export or deletion of your document set at any time by contacting support@uniformproof.com.

6. Limitation of liability

To the maximum extent permitted by law, UniformProof's total aggregate liability arising out of or relating to the service is limited to the fees you actually paid us. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost savings, or any consequence of a dispute you elect to raise with your supplier.

7. Trademarks and independence

Cintas, UniFirst, Vestis, Aramark, and Alsco are trademarks of their respective owners. UniformProof is an independent tool and is not affiliated with, endorsed by, sponsored by, or authorized by any uniform rental supplier. References to these companies are nominative and descriptive only.

8. Contact and governing law

These terms are governed by the laws of the United States and of the state in which UniformProof is organized, without regard to conflict-of-law principles. Questions about these terms may be sent to support@uniformproof.com.
